COMPANY FORMATION

Step one to Form your Company in Bahrain is obtaining a commercial registration without a business license, this will allow you to perform initial tasks related to establishment to the company such as leasing commercial space, approach banks and engage vendor, secure commercial name as well as any other tasks not requiring a business license to be obtained. Please note that your commercial registration without license does not allow you to practice the activity without first obtaining the necessary business licenses first. Once you obtain your commercial registration then you may apply to obtain a business license for the desired activity(ies). (Please note that the commercial registration without license is Valid for 1 year).​

Required Documents

• Airlift SRF.

• Official power of attorney.
  
  Note: in this application, if the client dose not provide his ekey, a power of attorney must be provided to enable the applicant to submit the application.

• Passport copy of partners/authorized persons/ Board of Directors.

• Board resolution for BSC & BSC (closed) or partners resolution for WLL approving the incorporation of the company in Bahrain (if not provided at the commercial registration issuance stage) *

• Attested AGM, EGM, or board resolution approving the incorporation of the company in Bahrain (Optional at this stage) **

• Attested copy of Commercial Registration (Optional at this stage) **

• Attested copy of Memorandum and Articles of Association (M&AA) (Optional at this stage **

• No objection Letter from the work place if the partner/authorized person/ board director is a private sector employee at the time of application submission.
  
  Note: Public sector employees are not allowed to establish commercial companies, however they may own shares in joint-stock companies (public and closed) and /or limited liability companies without assuming any administrative positions in them.

If the company that is to be incorporated is a branch of a foreign company, the following must be provided.

• A decision from the parent company to open the branch in the Kingdom of Bahrain (attested).

• A copy of the company's CR (attested).

• A copy of the company's articles of association and any other amendments (attested).

• Power of attorney for the branch manager (attested)

• Letter of guarantee for the branch(attested).

       Note : The time required to complete company formation in Bahrain depends on the business structure and regulatory approvals. On average, the process takes between five to thirty business days, subject to government processing times and document verification.
